An unincorporated association is a group of two or more people who come together for a common purpose, but do not form a legal entity. They are typically formed for non-profit purposes, such as religious, educational, charitable, social, or other non-commercial purposes. Unincorporated associations are cheap and easy to form, requiring a bare minimum of formalities to bring them into existence. They are also extremely flexible, with examples of tiny associations of just a few people, and national organizations with thousands of members. However, because they are not respected as a separate legal entity, their members generally can be personally liable for their debts and liabilities. The affairs of an unincorporated association are usually managed by a committee chosen by the members. Clubs and charities are often constituted as unincorporated associations.
